ST Engineering iDirect seeks a seasoned, hands on Contract Specialist - Legal to work from its Sint-Niklaas, Belgium office in support of our EU business needs.  A hybrid role on-site a minimum two days per week, the role will work closely with the EU regional business leaders and teams with responsibility for all aspects of the commercial contracts processes. Responsibilities include but are not limited to drafting, reviewing, revising, and negotiating a variety of commercial contracts with customers and partners as well as counseling internal key departments, including  finance, procurement, human resources, engineering, product management and business development. The role reports directly to the General Counsel in Herndon, Virginia (USA).

  • Draft, review and negotiate a broad range of commercial contracts using corporate or customer templates including customer and reseller agreements, statements of work, evaluation and demonstration agreements, software license agreements, support contracts, professional services and consulting arrangements and confidentiality agreements.
  • Negotiate and drive transactions and a significant volume of sales/revenue agreements primarily supporting the EU region, but with potential to expand to other regions.
  • Manage a living portfolio of commercial customer contracts in relevant databases and CRM tools; in-depth knowledge and ability to efficiently utilize SalesForce® preferred.
  • Form and maintain productive internal stakeholder and external customer relationships.
  • Review and analyze documents to determine compliance and contractual risks; explain and advise internal stakeholders on legal commitments; ensure legal documents comply with ST Engineering policies, procedures, and practices.
  • Assure that contracts are properly managed, updated, tracked, and stored in relevant databases and CRM tools.
  • Partner with internal customers to create regionally compliant contracts and other legal documents that minimize corporate risk.
  • Collaborate and work closely with a team of contract/legal professionals located in Herndon, Virginia (USA).
  • Advise the company on Belgium legal and regulatory matters, including corporate governance and compliance.
  • Manage and appropriately leverage relationships with regional legal counsel.
  • Act as legal representative to the Advisory Council of the Board of Directors.
  • Support the bid management team with European Funded Projects (ESA, EUSPA, EDF, European Commission, GOVSATCOM)
  • Work on other projects as assigned by the General Counsel

Qualifications

Experience/Qualifications

  • Minimum Master’s degree in law - preferably Belgian University
  • Fluent in written and spoken Dutch and English, other languages a plus.
  • 7 to 10 years legal firm and/or in-house commercial contracts experience, preferably in the telecommunications industry; knowledge of the satellite industry a plus.
  • Experience working on European Funded Projects (ESA, EUSPA, EDF, European Commission, GOVSATCOM) a plus.
  • Knowledge of diverse contract structures for sales of products, services and software, including XaaS offerings, software subscriptions and licensing contracts and support agreements.
  • Hands-on background drafting and negotiating international customer contracts; proven ability to effectively create, redline and edit documents.
  • Willingness and flexibility to establish, attend and actively participate in telephonic meetings with customers and partners in multiple international time zones.
  • Have effective verbal and communication skills in a global business environment.
  • Demonstrated knowledge of Microsoft Office Suite programs with a high degree of proficiency in Word, Excel and PowerPoint.
